About the role
Responsibilities
- Lead SEC reporting, corporate governance, and board support
- Own core SEC reporting workstreams and drive governance processes
- Serve as the primary drafter for proxy statements and related disclosures
- Manage quarterly and annual SEC filings and Section 16 reporting
- Coordinate proxy and shareholder meeting materials
- Support the Board of Directors and its committees
- Prepare legal memos and board materials
- Manage insider trading compliance and equity programs
Requirements
- 10-15 years of focused legal experience in public company securities, SEC disclosure, and corporate governance
- Hands-on expertise drafting SEC filings and supporting board operations
- Strong written communication and independent judgment
- Ability to manage multiple high-stakes workstreams
- Experience in technology, fintech, or payments is a plus
