Corporate Paralegal

Responsibilities

• Support Board of Directors and committee processes, including preparing meeting materials and maintaining minutes
• Manage corporate books, records, and subsidiary entity matters
• Assist with equity financings, debt transactions, and secondary transactions
• Partner with Legal, Finance, and People on equity-related matters and capitalization information
• Develop and maintain scalable Legal team processes, templates, and document-management practices
• Coordinate legal diligence and data-room processes for financings and M&A
• Manage workflows with outside counsel and external service providers

Requirements

• 4+ years of corporate paralegal experience at a law firm or in-house
• Strong experience with corporate governance and entity management
• Experience supporting corporate transactions such as venture financings or M&A
• Excellent organizational and project-management skills
• Ability to handle sensitive and confidential information with discretion

Preferred Qualifications

• Experience supporting a late-stage private or public company
• Familiarity with equity administration and capitalization platforms
• Experience with legal technology or contract lifecycle management systems
• Experience developing or improving legal processes
