General Counsel

About the Company

Teamshares is a tech-enabled acquiror of SMEs, intending to be a permanent home when owners retire. Part holdco, part fintech, Teamshares programmatically acquires companies with $0.5 to $5 million of EBITDA from retiring owners, integrates them with the Teamshares platform, and helps employees earn company stock.

Responsibilities

• Own all SEC reporting obligations including 10-K, 10-Q, 8-K, and proxy statement preparation and review
• Lead Sarbanes-Oxley compliance, insider trading policy enforcement, and Regulation FD
• Manage board governance, committee charters, D&O insurance, and director independence
• Iterate on legal infrastructure including contract management systems and compliance programs
• Manage company equity plans, including stock options, RSUs, and 409A valuations
• Draft and negotiate executive employment agreements and severance arrangements
• Provide real-time legal counsel to the CEO and leadership during regulatory inquiries or litigation

Requirements

• 10+ years of legal experience
• Meaningful experience at a public company or as outside counsel to public companies
• Deep fluency in SEC reporting, SOX compliance, and corporate governance
• Experience building public company legal functions from scratch
• Solid grounding in equity compensation and employment law
• J.D. from an accredited law school
• Strong commercial instincts and executive presence

Preferred Qualifications

• Transactional experience in M&A or capital markets
• Experience drafting complex commercial agreements and financing documents
• Intellectual property portfolio management
• Knowledge of data privacy compliance (GDPR, CCPA)
• Familiarity with State blue sky / securities laws
