About the Company

Molecule and BIO.xyz are building the foundation of Decentralized Science (DeSci) — where biotech meets web3 to make scientific research community-owned, transparent, and faster to market. Molecule provides the infrastructure to turn intellectual property (IP) into programmable, on-chain assets through our IP-NFT framework and evolving protocol stack.

Responsibilities

  • Draft, review, and manage corporate documents including shareholder agreements, board resolutions, NDAs, and governance instruments
  • Prepare transactional documents for fundraising, token sales, SAFTs, and IP licensing agreements
  • Support IP portfolio management, patent prosecution coordination, and trademark filings
  • Assist with litigation and dispute resolution, including pleadings and discovery
  • Operate and quality-review AI legal tools for LLM-driven drafting and research
  • Design structured Human-in-the-Loop (HITL) review protocols for AI-generated work product
  • Build and maintain prompt libraries, workflow templates, and SOPs for AI-assisted legal tasks
  • Monitor regulatory developments across SEC, FINMA, MiCA, and Canadian securities regulators
  • Support KYC/AML, GDPR, and data protection compliance

Requirements

  • AI-native with hands-on experience using LLMs for legal drafting or research
  • Experience building or operating HITL review workflows
  • Paralegal credential (diploma, certificate, or degree) from an accredited institution
  • 3+ years of experience in corporate, transactional, or litigation matters
  • Ability to work across US, Canadian, Swiss, and EU legal systems
  • High level of organization and ownership in a distributed startup environment

Preferred Qualifications

  • Current paralegal license (LSO or equivalent)
  • Experience with venture capital transactions, SAFTs/SAFEs, or convertible notes
  • Familiarity with blockchain, DeFi, or DeSci ecosystems
  • Background in IP licensing or biotech research collaboration agreements
  • Bachelor's degree in law, science, or business
