Chief Legal Officer

Responsibilities

• Own end-to-end contract lifecycle management for new customer agreements, renewals, and upgrades
• Negotiate commercial agreements including MSAs, SOWs, SaaS/licensing, and vendor contracts
• Manage relationships with outside counsel across litigation, regulatory, and IP matters
• Prepare board materials and provide legal counsel directly to the Board of Directors
• Advise executive leadership on corporate strategy, M&A, financing, and regulatory risks
• Oversee corporate governance, entity management, and compliance programs
• Manage IP strategy, enterprise risk management, and legal policy development
• Represent the company in litigation and oversee labor and employment matters

Requirements

• J.D. and active bar membership in good standing
• 12+ years of legal experience with significant in-house experience
• Prior CLO or General Counsel experience strongly preferred
• Demonstrated experience negotiating commercial/SaaS contracts at scale
• Direct experience presenting to and advising a Board of Directors
• Experience working with or reporting to PE-backed or investor-governed companies
• Strong litigation oversight experience, including labor and employment matters
• Excellent judgment, communication skills, and executive presence

Preferred Qualifications

• Experience in fintech, lending, mortgage servicing, or related regulated industries
