Senior Legal Counsel

Responsibilities

• Own first-line contract review for NDAs, MSAs, DPAs, Order Forms, and security addenda to reduce dependency on external counsel.
• Establish a legal intake and prioritization process with clear approval thresholds across Sales, Finance, and Security.
• Build and implement a practical contract playbook, including a clause library and fallback positions, to reduce deal cycle friction.
• Develop commercial legal infrastructure, including templates, self-serve tools, and approval matrices, to reach Series B/C maturity.
• Manage complex negotiations involving IP ownership, AI/ML restrictions, and product-use terms specific to developer tooling.

Requirements

• 5–8+ years PQE, ideally with a mix of law firm and in-house B2B SaaS experience.
• Extensive experience negotiating both company paper and customer paper.
• Deep understanding of SaaS MSAs, DPAs, SLAs, and procurement terms.
• Practical knowledge of GDPR, privacy, data processing, and security obligations.
• Proven ability to work in a fast-moving startup environment and build legal processes from scratch.
• Strong commercial judgment and ability to partner with Sales, Finance, and Product leadership.

Preferred Qualifications

• Background in developer tools, cloud infrastructure, DevOps, or cybersecurity.
• Experience with AWS Marketplace or other cloud marketplaces.
• Familiarity with US and EU legislation.
• Experience implementing CLM or quote-to-contract tooling.
• Exposure to equity, corporate governance, and fundraising.
