Associate General Counsel, Corporate

Responsibilities

• Lead the corporate legal function including corporate governance and public company readiness
• Manage board administration and oversee entity and subsidiary governance
• Provide legal leadership for equity plan administration
• Lead legal due diligence and negotiation for M&A activity
• Manage complex commercial and financing transactions
• Drive public company readiness initiatives including securities law and SOX compliance
• Oversee employment and litigation matters
• Build and lead the corporate legal team and optimize scalable legal processes

Requirements

• JD with active bar membership
• At least 10 years of relevant legal experience
• Experience at a nationally recognized law firm
• Expertise in securities law, corporate governance, M&A, SEC reporting, and SOX
• Experience preparing for or managing public company compliance
• Strong leadership, communication, and project management skills

• Mix of late-stage private and public company work
• Experience in technology or SaaS
