Commercial/Transactional Lawyer

Responsibilities

• Help the product and engineering teams understand real legal workflows and decision-making processes
• Provide practical guidance on commercial agreements, risk assessment, and negotiation strategy
• Review product concepts and evaluate whether AI experiences reflect actual legal work
• Assess AI-generated outputs including summaries, clause classifications, and redline recommendations
• Develop evaluation rubrics, benchmarks, and high-quality ground-truth data for model training
• Advise on how playbooks, precedent, and negotiation rationale should inform AI recommendations
• Support customer discovery and validate proposed workflows

Requirements

• Must be based in the United States
• 5+ years of legal experience preferred, specifically in reviewing, drafting, and negotiating commercial or transactional agreements
• Experience as an in-house lawyer, senior associate, legal consultant, or transactional counsel
• Strong experience with NDAs, services agreements, procurement, technology, or licensing agreements
• Ability to explain complex legal reasoning to non-lawyers (engineers, product managers)
• Qualification or admission as a lawyer in a U.S. jurisdiction
• Strong written communication skills for producing structured evaluations

Preferred Qualifications

• Experience in private equity, M&A, funds, or international commercial agreements
• Experience with legal AI, CLM systems, or AI-assisted drafting products
• Prior work with product, engineering, or data science teams
• Experience in legal operations or knowledge management
• Familiarity with tools like iManage, DealCloud, or Ironclad
