Corporate Counsel, Executive Compensation & Corporate Governance

Responsibilities

• Advise on the design, implementation, and governance of employee compensation, health and welfare, and retirement benefit plans
• Provide legal support on executive and director compensation programs, including severance and change-in-control
• Advise on 401(k) and welfare plan governance, fiduciary oversight, and ERISA matters
• Ensure compliance with ERISA, Internal Revenue Code, ACA, HIPAA, and COBRA
• Provide legal advice on compensation-related disclosure and corporate governance, including Annual Proxy Statements
• Support Section 16 compliance and the preparation of Forms 3, 4, and 5
• Advise on insider trading compliance and Rule 10b5-1 trading plans
• Assist with Nasdaq listing standards and corporate governance requirements
• Partner with Finance, Human Resources, payroll, tax, and accounting teams

Requirements

• Juris Doctor degree and in good standing to practice law
• 8 years of relevant experience, including with a top-tier law firm
• Experience advising public companies on corporate, securities, and executive compensation matters
• Strong legal and business judgment
• Excellent communication and interpersonal skills
• Ability to work effectively in a remote environment
