General Counsel

Responsibilities

• Lead development of global compliance frameworks for Layer-1 blockchain operations, DePIN infrastructure, and tokenomics
• Advise on US and international regulations including SEC, CFTC, FinCEN, and GDPR
• Design licensing strategies and regulatory engagement plans across key jurisdictions
• Draft and negotiate complex agreements for strategic partnerships, vendor contracts, and equity/token allocations
• Establish and maintain robust corporate governance structures for the equity cofounder network
• Protect intellectual property for proprietary blockchain execution, cryptography, and AI integration technologies
• Identify and mitigate legal risks across product development and token launches
• Represent the company in regulatory forums and industry policy discussions

Requirements

• JD from a top-tier law school with active US bar membership
• 8+ years of progressive legal experience
• 4+ years of experience focused on cryptocurrency, blockchain, DeFi, or Web3 technologies
• Proven track record advising on token launches and securities law compliance (Howey test, Reg D, Reg A+, etc.)
• Deep understanding of digital asset taxation, data privacy (GDPR/CCPA), and IP law

Preferred Qualifications

• Prior in-house General Counsel or senior legal role at a blockchain or fintech company
• Experience with DePIN, Layer-1 protocols, or enterprise blockchain adoption
• Strong network with regulators, policymakers, or crypto legal specialists
• Publications or speaking engagements regarding blockchain law
