Job description

Responsibilities

  • Review and organize target company documents including corporate records, contracts, and financial statements
  • Maintain and update due diligence checklists and data rooms
  • Prepare and draft disclosure schedules for purchase agreements
  • Assist attorneys with drafting and revising asset and stock purchase agreements
  • Prepare redlines and maintain version control across negotiation rounds
  • Coordinate closing logistics, signature pages, and execution with clients and opposing counsel
  • Assemble final closing binders and electronic closing sets
  • Support ancillary document preparation such as officer's certificates and corporate resolutions

Requirements

  • Paralegal certificate, degree, or equivalent work experience
  • 2+ years of experience as a paralegal in a transactional or corporate practice
  • Direct M&A deal experience strongly preferred
  • Strong understanding of the M&A deal process and standard transaction documents
  • Proficiency with Microsoft Word (redlining/track changes), Excel, Google Workspace, and PDF tools
  • Experience with virtual data rooms and document management systems
  • Ability to manage competing deadlines across multiple active transactions
  • Self-motivated and able to work independently in a fully remote environment
