Senior Corporate Counsel, Contracts

Responsibilities

• Lead contract development, review, negotiation, and management across the company
• Draft and negotiate diverse agreements including product distribution, R&D, manufacturing, SaaS, clinical trial, and material transfer agreements
• Identify legal issues and business risks and communicate them to internal decision-makers
• Serve as legal representative for International, Manufacturing, Regulatory, IT, HR, and Finance departments
• Train business teams on contract templates and good contracting practices
• Manage and enhance the company's contract management system
• Provide legal due diligence and support for special projects

Requirements

• J.D. from an accredited law school
• Minimum 3 years of experience at an AM Law 100 firm
• 4+ years of experience as in-house counsel
• 8+ years of directly related legal experience
• Extensive experience drafting and negotiating CDA, MSA, and SOW agreements
• Bar membership in state of residence
• Ability to work EST or CST hours

Preferred Qualifications

• 8+ years of experience in biotech or pharmaceutical contract negotiation
• Experience with medical devices, OTC, or cosmetics products
• Experience maintaining contract management systems
• Ability to communicate complex scientific and legal concepts simply
